Terms of Service

These Terms of Service ("Terms") govern access to and use of BadgeSeal, a digital business card and verifiable staff badge service operated by BadgeSeal, an individual enterprise based in Austria, with its place of business at Schillergasse 45/3, 2620 Neunkirchen, Austria ("BadgeSeal", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

1. The Service

BadgeSeal lets an organization create digital business cards and staff badges for its members, each with a QR code that links to a public verification page. Badges are cryptographically sealed so their authenticity can be verified even without an internet connection. BadgeSeal is provided on a software-as-a-service basis, hosted on Cloudflare's infrastructure.

2. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. The person who creates an organization's account is its initial owner and may invite other administrators with different access levels. You are responsible for all activity carried out under your account.

3. Plans, free trial, and billing

BadgeSeal offers several subscription plans, each with a maximum number of staff members and a monthly or annual billing cycle; current plans and pricing are published on our pricing page. New paid subscriptions begin with a 7-day free trial. A valid payment card is required to start a trial. If you do not cancel before the trial ends, billing begins automatically at the end of the trial for the plan and billing cycle you selected, and your subscription carries a minimum commitment of one month from that point. Payments are processed by our payment provider, which acts as merchant of record for the transaction. We do not store your full card details ourselves.

4. Acceptable use

You agree not to use BadgeSeal to issue badges or cards for people who are not genuinely affiliated with your organization, to misrepresent the identity of a badge holder, to attempt to circumvent the badge verification mechanism, or to use the Service in a way that violates applicable law or infringes the rights of others.

5. Your content and your staff's data

You (the organization) remain the owner and data controller of the staff information, logos, and photos you upload to BadgeSeal. We process that data on your behalf, as described in our Privacy Policy, solely to provide the Service. You are responsible for having a lawful basis to provide us with your staff members' personal data.

6. Cryptographic sealing — what it does and does not prove

A sealed badge lets a verifier confirm that the badge was genuinely issued by BadgeSeal on behalf of your organization and has not been altered. It does not verify the professional qualifications of the badge holder, and it does not prevent a physical badge from being copied or photographed. Do not represent it as more than that to your own staff or to third parties relying on a scanned badge.

7. Service availability

We aim to keep BadgeSeal available at all times but do not guarantee uninterrupted access. Public verification pages are designed to keep working even if your subscription lapses, so that badges already printed and distributed remain checkable; administrative access to your dashboard, however, requires an active subscription in good standing.

8. Termination

You may cancel your subscription at any time from your account, subject to the minimum commitment described in our Cancellation & Refund Policy. We may suspend or terminate an account that breaches these Terms, engages in fraudulent use, or fails to pay amounts due.

9. Limitation of liability

To the fullest extent permitted by applicable Austrian law, BadgeSeal is provided "as is" and we are not liable for indirect, incidental, or consequential damages arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under mandatory law.

10. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will make reasonable efforts to notify account owners in advance. Continued use of BadgeSeal after a change takes effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of Austria, without regard to its conflict-of-law principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the competent courts of Austria, except where mandatory consumer-protection law provides otherwise.

12. BadgeSeal Certificates

BadgeSeal Certificates is a separate, independently purchasable product covered by these Terms, letting an organization issue verifiable digital certificates and diplomas. It can be bought with or without a BadgeSeal subscription for badges and business cards, and vice versa.

If you use BadgeSeal Certificates, you warrant that every certificate you issue is issued to an adult under the law applicable to that individual. We do not collect or require a date of birth to enforce this — that responsibility is yours as the issuing organization.

BadgeSeal Certificates makes no claim of compliance or accreditation under any national education or certification framework. We verify that a certificate was genuinely issued by your organization and has not been altered; we do not verify, and do not represent, that the underlying qualification meets any particular standard.

Certificate verification pages are designed to keep working even after your subscription lapses or is cancelled, so that certificates already issued remain checkable by anyone who scans them. If we ever discontinue BadgeSeal Certificates, we will give reasonable advance notice to account owners.
